David N. Kornhauser, LL.B. (Dalhousie University), M.B.A. (Schulich School of Business, York University), B.A. University of Toronto, was called to the Ontario Bar in 1987, after articling at Blake Cassels & Graydon. David's practice involves representing private and public, small and medium sized (annual sales up to $150M) companies, in all aspects of business law. Clients include technology companies, service providers, franchisors, manufacturers, master licensors, distributors and retailers, in a variety of industries, as well as not for profit/charitable organizations. David also represents a number of franchisors and franchisee associations in all aspects of franchise law.

David provides legal advice and representation in connection with the structure and negotiation of, and draft agreements for: the purchase/sale of businesses; shareholder, partnership, joint venture and co-tenancy agreements; corporate amalgamations, restructuring and reorganizations; royalty based agreements, including the licensing and/or distribution of software, patents, products and franchises; information technology agreements, including licensing, outsourcing, support and service agreements; corporate financing, including, private placements of securities; the securitisation and realization of assets; commercial leasing; documentation for shareholder meetings; documentation with respect to securities regulatory agencies in both Canada and the United States; corporate governance. David served as a director and corporate secretary for a public company, and as an assistant secretary for a second public company.

David is a member of the Executive of the OBA Joint Subcommittee on Franchising. Additionally, David recently served as Co-Chair for the 2007 Canadian Franchise Association Legal Symposium and has authored or co-authored a number of papers including: “Alternatives To Termination” for the Canadian Franchise Association Legal Symposium, in March, 2009; Franchising 101 - Understanding the Fundamental Aspects of the Franchise Relationship, for the OBA 8th Annual Franchise Law Conference, November, 2008; “Franchise Agreement Drafting”; Ontario Bar Association Institute Franchising Program, September, 2005; “Franchise Associations”; Ontario Bar Association Institute Franchising Program, January, 2004;“Legal Aspects of How to Franchise Your Business"; 2003 Canadian Franchise Association, February, 2003. “Legal Aspects of Franchising a Business: A Review of Bill 33, The Arthur Wishart Act (Franchise Disclosure), 2000"; 2001 Canadian National Franchise Show & Conference, February, 2001, 2002 and 2003. “Franchising 101”, Canadian Franchise Association Legal Symposium, November, 1999 (co-authored), as well as various other papers and seminar presentations.

David is also involved in the community at large. He is presently a Trustee, Beth Torah Synagogue. Previously David was an Instructor for the LSUC's Bar Admission Course (Business Law) and revised materials for the Business Law section of the 2001 Bar Admission Course; was a Director and Corporate Secretary for B’nai B’rith Youth Organization and a Volunteer Lawyer, Canadian Bar Association.

David has been married to Peggy for 22 years (in November, 2009), and has 4 children. Amongst other interests, David has been a yoga student for the past 7 years at a small private yoga studio in Toronto.
